1. Overview

RupeeStack is a unified digital ecosystem that provides and powers multiple financial technology products such as Paymadi, and RupeeCashback. These services collectively enable digital payments, cashback rewards, and integrated financial tools for individuals and businesses in India.

These Terms form a legally binding agreement between you ("User") and RupeeStack regarding the use of the Platform and all associated products and services.

2. Eligibility

You must:

• Be at least 18 years old;
• Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872; and
• Use the Platform in compliance with all applicable Indian laws and regulations.

If you are accessing the Platform on behalf of a business or legal entity, you represent that you have full authority to bind that entity to these Terms.

3. Account Registration

Certain features of the Platform may require you to create an account. You agree to:

• Provide true, accurate, and up-to-date information;
• Keep your account credentials confidential; and
• Be fully responsible for all activity carried out through your account.

RupeeStack will not be liable for any loss resulting from unauthorized access or use of your account. You must notify us immediately of any suspected breach of security.

4. Permitted Use

You agree to use the Platform strictly for lawful purposes in accordance with Indian laws, including but not limited to the Information Technology Act, 2000, the Prevention of Money Laundering Act, 2002, and other relevant regulations.

You shall not:

• Engage in fraudulent, deceptive, or illegal transactions;
• Interfere with or disrupt the functionality or security of the Platform;
• Attempt to gain unauthorized access to the Platform or related systems;
• Upload or share any content that is defamatory, obscene, or violates third-party rights.

RupeeStack reserves the right to suspend or terminate access for violations of this clause.

5. Compliance and Verification

You agree to comply with all applicable Know Your Customer (KYC), Anti-Money Laundering (AML), and Countering Financing of Terrorism (CFT) laws and regulations as may be prescribed by the Reserve Bank of India (RBI) or other competent authorities.

RupeeStack reserves the right to request additional information or documents for verification and to restrict access to services until verification is complete.

6. Third-Party Links and Integrations

The Platform may link or integrate with third-party websites, APIs, or payment processors. These third parties operate independently under their own terms and policies. RupeeStack assumes no responsibility for the content, accuracy, or security of third-party services. Use of such services is at your own risk.

7. Intellectual Property

All materials on the Platform, including logos, software, interfaces, designs, and trademarks, are the exclusive property of RupeeStack or its licensors and are protected under the Copyright Act, 1957 and applicable Indian intellectual property laws.

You are granted a limited, revocable, non-exclusive license to use the Platform for personal or authorized business use. Any unauthorized use or reproduction of our intellectual property may lead to legal action.

8. Privacy and Data Protection

Your privacy is important to us. Please refer to our Privacy Policy, formulated in accordance with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, to understand how we collect, store, and process your personal information.

By using the Platform, you consent to the collection and use of your information in accordance with Indian data protection laws.

9. Service Availability and Modification

RupeeStack strives to ensure reliable access to its Platform but does not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Platform at any time without prior notice.

RupeeStack shall not be held liable for any loss or inconvenience resulting from downtime, maintenance, or technical issues.

10. Disclaimer of Warranties

The Platform and its services are provided "as is" and "as available" without any express or implied warranties. RupeeStack disclaims all representations and warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Use of the Platform is entirely at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, RupeeStack, its affiliates, officers, and employees shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Platform.

Your sole and exclusive remedy is to discontinue use of the Platform.

12. Indemnification

You agree to indemnify and hold harmless RupeeStack, its directors, officers, employees, and agents against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms or applicable Indian laws;
• Your misuse of the Platform; or
• Any infringement of third-party rights.

13. Termination

RupeeStack may suspend or terminate your access to the Platform at its discretion, without notice, for any violation of these Terms, applicable law, or regulatory requirement. Upon termination, all rights granted to you will immediately cease.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes, claims, or controversies arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

15. Amendments

RupeeStack reserves the right to amend or update these Terms at any time in compliance with applicable Indian law. Updated Terms will be published on this page, and continued use of the Platform constitutes your acceptance of the revised Terms.
